ARTICLE I: MEMBERSHIP
Section 1 – ELIGIBILITY:
Membership shall be contingent upon the following:
- A family has at least one child who meets the age requirements prior to the start of the current quarter. The indoor playground serves children newborn to 5 years. Children turning 5 on or after September 1 will be eligible for the current year.
- The family pays annual dues as set by the Tiny Tots Board of Directors.
Section 2 – TERMINATION:
- Termination of membership shall occur upon the family not meeting any one of the requirements of Section 1 above, or not meeting the responsibilities in Section 4 below, or voluntarily upon the member’s request.
- Members who do not fulfill their term are not considered members in good standing, and will not be eligible to rejoin.
Section 3 – REINSTATEMENT:
A former member will be reinstated as an acting member if the member left Tiny Tots in good standing and space is available. Past obligations must be met upon rejoining. Members involuntarily terminated may not return as guests.
Section 4 – RESPONSIBILITIES:
Membership is contingent upon fulfilling the following responsibilities:
- An adult member of the family completes the annual orientation program.
- An adult member must accompany all member children.
- The adult member shall ensure that the child obeys all indoor playground safety rules.
- The adult member will supervise his/her own child(ren) at all times while at the playground and follow the code of conduct for both parents and children. Repeated discipline problems may result in the Board withdrawing the membership of that family.
- Members are responsible for checking their email for updates and playground information.
Section 5 – MEMBER DUTIES:
In addition to an annual fee, all members are required to:
- Periodically open or close the playground or act as substitute in the event an opener or closer is unable to come in, and acts as duty reminder as often as necessary to evenly distribute tasks among all members.
- If a member cannot complete his/her duties, he/she must arrange for a trade or contact the designated substitute. If a substitute is used, the member using the substitute must inform the Calendar Coordinator to reschedule the duty. Designated substitutes are to be used for unforeseen circumstances only.
- A member, who fails to appear for a scheduled opening or closing duty, without making prior arrangements, will be penalized with two additional open/close duties. After two no-shows, the member will be dismissed from the playground without refund.
- Participate in room-by-room toy cleanings as often as necessary to evenly distribute tasks among all members.
- Complete a minimum of 2 volunteer hours per term or pay a penalty as set by the Tiny Tots Board of Directors for each hour not completed.
Section 6 – GUESTS:
Members may bring one guest family per month.
- Guests are limited to one visit per month.
- Guests must sign the guest book and the liability waiver. “Guest” name tags must be worn.
- Age limits and Tiny Tots rules apply to all guests.
Section 7 – VOTING RIGHTS:
Each member family shall have one vote in any membership meeting.
ARTICLE II: FEES AND DUES
Section 1 – DUES:
- Dues shall be as designated by the Tiny Tots Board of Directors.
- Dues will be assessed annually by the board of directors. Full dues are paid when a new member joins. Scholarship and payment plans may be available upon request.
- No fees or dues will be refunded upon termination. Written communication will be sent to members confirming termination.
ARTICLE III: TERM
Section 1 – SCHEDULE OF OPERATION:
The playground shall operate during the school year according to the schedule indicated in the member handbook unless otherwise posted.
ARTICLE IV: MEETINGS
Section 1 – PLAYGROUND MEETINGS:
- The annual election meeting will be held in spring to elect the Board of Directors/Officers for the coming year and review the By-laws.
- There will be regular monthly meetings of the Board of Directors; time and place to be set by the Board. Board meetings are open to the full membership.
- The Board, the President or three active members may call special meetings of the playground. Notice of intent must be given to the Board with enough time to allow all members to be informed of the meeting one week in advance.
- Quorum at any meeting shall consist of at least five Board members and issues shall be decided by majority vote.
ARTICLE V: BOARD OF DIRECTORS/OFFICERS
Section 1 – POSITIONS:
The Board of Directors of the corporation shall consist of the Officers of the playground as follows:
- Executive Director
- Board Secretary
- Calendar Coordinator
- Volunteer Coordinator
- Communications Coordinator
- Finance Manager
- Operations Manager
- PR/Marketing Manager
Section 2 – POWERS AND DUTIES:
Officers of the playground may appoint an assistant or co-chair position and assign volunteer hours to members.
Section 3 – ELECTIONS:
- The Board shall solicit nominations from the general membership for Board positions.
- The Officers shall assume their duties in June and serve for one year.
- Mid-year vacancies shall be filled by a majority vote of the Board of Directors.
Section 4 – EMERITUS STATUS:
Emeritus status is the rank awarded to a board member during the year following his/her term in recognition of substantial service rendered to the co-op and is decided by the outgoing Executive Director.
Emeritus Status members are exempt from member duties as defined in Article I: Section 5 – MEMBER DUTIES:. Certain perquisites are provided as follows:
- Emeritus members are expected to act as consultants for current board members, to furnish information from the past year, and to perform any other similar service stemming from a responsibility which continues beyond their term.
- Termination of emeritus status shall occur upon the member not meeting any one of the requirements listed above, in not meeting the responsibilities in ARTICLE I: Section 4 – RESPONSIBILITIES, or voluntarily upon the member’s request.
ARTICLE VI: BOOKS AND RECORDS
Section 1- BOOKS AND RECORDS:
Current and complete records of account and minutes of proceedings shall be kept. Membership records and books may be inspected by members upon request.
Section 2-MONIES:
All moneys will be kept in checking, savings, or Certificate of Deposit accounts in a local bank. Records of transactions, budget and checkbook related materials will be kept by the Treasurer. Checks will require two out of four authorized signatures. An internal audit will occur at the end of each fiscal year.
ARTICLE VII: AMENDMENTS
Section 1 – AMENDMENTS TO BYLAWS:
Bylaws may be altered, amended, or repealed and new bylaws adopted by majority of the members present at any regular or special meeting if one week’s notice has been given of intention to alter, amend, repeal, or adopt new bylaws at such meeting.
FIRST AMENDMENT
Evening playground hours are designated “Family Nights.” Children older than five who have member siblings may use the playground after regular closing time with adult supervision.
SECOND AMENDMENT
Current Members in good standing who have children entering kindergarten may continue to be eligible for that school year, regardless of date of birth.
THIRD AMENDMENT
Member families can regularly include up to two extra children that are not a part of their immediate family household. The fee for each extra child will be determined by the Board of Directors. The guardian(s) of the extra children are not members of Tiny Tots. They do no duties, serve on no committee, and do not have access to the playground. A liability waiver signed by the children’s guardian(s) must be on file.
